WHEREAS, the County will use road paving supplies purchased and reimbursed by Eaton to pave Crannell Drive, Willman Road, and Romy Street, and the County will provide all labor needed to complete the paving of Crannell Drive, Willman Road, and Romy Street at the County’s expense; and
WHEREAS, pursuant to Ind. Code §36-1-7-2 and Ind. Code §36-1-7-3 the Parties have adopted appropriate ordinances or resolutions authorizing this Agreement.
In consideration of their mutual promises herein, the Parties agree as follows:
1.Duration. This Agreement shall be in force from its Effective Date, defined above, until terminated as provided below.
2.Purpose. The purpose of this Agreement is for Eaton to reimburse the County for the purchase of and to provide all road paving material necessary at the County’s cost for the County to pave Crannell Drive, Willman Road, and Romy Street at Eaton’s expense. The County will equip, operate, staff, supervise, and provide all labor required to complete the paving of Crannell Drive, Willman Road, and Romy Street at the County’s expense, as identified in Exhibit A, Exhibit B, and Exhibit C (the “Projects”). Eaton shall provide all the appropriate new road markings on the roads at Eaton’s expense.
3.Property and Equipment.
- a.Except as otherwise provided herein, each party to this Agreement shall be responsible for its own supplies and all property provided by either Party will remain that Party’s property throughout the duration and after termination of this Agreement.
- b.Eaton shall reimburse to the County the cost of the road paving supplies used for the Project.
- c.Crannell Drive from the Railroad tracks to Romy Street:
- i.Approximately 1,850 SY;
- ii.200+/- ton of 9.5mm surface estimated at approximately $13,900.00;
- iii.110 gallons of tack estimated at approximately $296.37; and
- iv.Prices are subject to change.
- d.Willman Road from Indiana Avenue to Eaton Town limits:
- i.Approximately 5,075 SY;
- ii.560+/- ton of 9.5mm surface estimated at approximately $38,920.00;
- iii.305 gallons of tack estimated at approximately $814.35; and
- iv.Prices are subject to change.
- e.Romy Street from the North approach of Bridge #27 to Indiana Avenue:
- i.Approximately 950 SY;
