5. TERMINATION
Either Party may terminate this Agreement with ninety (90) days' written notice to the other Party. In the event of termination, compensation shall be prorated based on the services rendered up to the termination date.
6. INDEPENDENT CONTRACTOR
The EDA shall perform all services as an independent organization and not as an employee or agent of the County. The EDA retains full control over its methods, personnel, and resources in fulfilling the obligations of this Agreement.
7. GENERAL PROVISIONS
- Amendments: This Agreement may only be modified in writing and signed by both Parties.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, or agreements.
