26-0126 7/28/2026 Authorize 2026 Wastewater Revenue Bonds Sale (Series B) Authorize the issuance of (1) up to $506,000,000 of Wastewater Revenue Bonds, 2026 Series A (Federally Taxable) (2026 Series A Bonds) to fund certain costs related to the Biosolids Digester Facilities Project, retire commercial paper notes, and fund capitalized interest to mitigate short-term budget impacts; and (2) up to $556,000,000 of Wastewater Revenue Bonds, 2026 Series B (2026 Series B Bonds) to refund a portion of certain outstanding bonds; authorize the General Manager to execute documents necessary or appropriate to sell the 2026 Wastewater Bonds in one or more series of bonds on a negotiated basis, as the General Manager determines is in the best financial interest of the San Francisco Public Utilities Commission; and authorize the General Manager to appoint underwriters and enter into one or more bond purchase contracts with underwriters selected from the City’s pool of pre-qualified underwriters subject to a competitive procurement process and in accordance with the City’s policies and procedures, subject to the limits on underwriters’ compensation set forth in the resolution.
26-0127 7/28/2026 Approve Credit Facility Agreements for Interim Funding of Wastewater Enterprise Capital Program Approve credit facility agreements for interim funding of the San Francisco Public Utilities Commission Wastewater Enterprise capital project in the forms of (1) Revolving Credit and Term Loan Agreement with the Royal Bank of Canada (RBC) for Series A-6/A-6-T, (2) Reimbursement Agreement with TD Bank N.A. (TD Bank) for Series A-9/A-9-T aggregate principal amounts not to exceed $125 million each (exclusive of 270 days’ interest); (3) RBC and TD Bank Agreements (together with the RBC and TD Bank and Fee Agreements (collectively, the Bank Agreements); (4) related forms of the Letter of Credit and Bank Notes exhibited in the respective Bank Agreement; (5) Amended and Restated Issuing and Paying Agent Agreement; and (6) form of Offering Memorandum; and authorize the General Manager to execute any other necessary implementing agreements or documents.
